1. Acceptance of Terms

By accessing or using the Northwind Logistics client portal and services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.

2. Services

Northwind Logistics provides a trade and logistics platform enabling clients to request quotes, submit purchase orders, track shipments, and manage trade documents. All services are subject to availability and our operational capacity.

3. Account Registration

Accounts are subject to admin approval. You must provide accurate and complete information. You are responsible for maintaining the confidentiality of your credentials. Accounts created with false information may be terminated.

4. Orders and Quotations

All quotations are valid for the period stated on the document (typically 30 days). Quotations are subject to product availability and may change without notice. A confirmed order requires written acceptance and payment terms compliance.

5. Pricing

All prices are quoted EXW (Ex Works) unless otherwise stated. Freight, insurance, and customs costs are additional unless explicitly included in the quotation. Currency exchange variations may affect final pricing.

6. Payment Terms

Standard terms require a deposit upon order confirmation with the balance due before shipment. Specific payment terms are agreed per order and stated in the proforma invoice. Late payment may result in order cancellation.

7. Shipping and Delivery

Transit times are estimates only. Northwind Logistics is not liable for delays caused by customs, port congestion, carrier schedules, or force majeure events. Risk passes to the buyer at the agreed Incoterm point.

8. Quality and Returns

Products are inspected before shipment. Claims for damaged or incorrect goods must be submitted within 14 days of receipt with supporting photographic evidence. Returns are subject to our approval and the supplier's terms.

9. Limitation of Liability

Northwind Logistics's liability is limited to the value of the specific order in dispute. We are not liable for indirect, consequential, or loss-of-profit damages.

10. Governing Law

These terms are governed by the laws of USA. Disputes shall be resolved by negotiation in good faith, and if unresolved, by arbitration.
